Writing Sample Sale Agency Agreement
This agreement is made between Canada Worldwide Magnet, Unit 8, Downsview, Ont. Canada (hereinafter called Party A), and BGF International Inc. 19FL., No. 279 Tangshan Road, Taipei, China (hereinafter called Party B) in respect of the exclusive products—Golden Fish Brand Transistor radio manufactured by Party B under the terms and conditions as set forth hereunder.
1. It is hereby Party B to grant the exclusiveness to Party A as sole buyer and distribution in Canada and the United States of America for the transistor radios manufactured by Party B under normal trade procedures.
2. Party B is restricted to sell or export any of the said products to any party in the Canada and U.S.A. without previous written consent of Party A.
3. Party A commits to place order quantity 10,000 pieces minimum within the first year trial period in Canada and half a year trial period in U.S.A.
4. The quantity of above products corresponds to the requirements of Party A and the acceptable quality standard is all understood and agreed.
5. Terms of payment are proposed by irrevocable Letter of Credit at sight from Party A. The Letter of Credit is to be opened 30 days prior to the shipping date according to the purchase order committed.
6. Party B warrants that at the time of delivery each product will be free from defect in material or workmanship. In the event the claims occur due to inferior quality/defective materials, then Party B should take the whole responsibility for 100% replacement or return the full amount of the defective products.
7. This agreement is effected when it is signed by the parties concerned and is automatically extended provided that none of the parties has any objections.
8. Any party may propose to terminate the agreement if the party provides acceptable reason by registered airmail written notice 90 days prior to the termination to be effected.
9. In witness thereof, Party A and Party B start to execute this AGREEMENT by persons thereunto duly authorized on the date signed their respective signatures.
10. ARBITRATION: The arbitration shall be held at Shanghai, and in accordance with the law in China and the rules of Int'l Chamber of Commerce.

This Bill of Sale is made on July 25

In exchange for the payment of $60,000 that has been received, the Seller sells, assigns and transfers all of its right title and interest in and to the following Goods to the Buyer: 12 Dover Weaving Machines. Model 32528.
The Seller warrants that it owns the Goods and that it has the authority to sell the Goods to the Buyer. The Seller further warrants that the Goods are free and clear of all liens, indebtedness, or liabilities. The Seller also warrants that all of the goods are in good working condition as of the date of transferred.
